PREFACE|AUTHORS' PROFILE|WHERE TO BUY?

Corporate governance has taken a heightened significance in the wake of corporate scandals such as Enron and Worldcom. Singaporeans have also witnessed similar instances in recent cases like China Aviation Oil and Citiraya. These, together with the increase in the number of foreign listings on the Singapore Stock Exchange and the nation's steady rise in stature as a reputable financial centre, have propelled much interest, discussion and emphasis on the development and promotion of good governance practices among listed companies here.

Against this backdrop, Corporate Governance of Listed Companies in Singapore offers fresh perspectives and serves as a useful guide on the subject. The contents strike a careful balance between theory and practice through the presentation of case studies of local precedents and in-depth research by a team consisting of an academic and two corporate practitioners. A distinctive feature of this book is the wealth of local case studies and unreported court cases compiled to inform the public of the position taken by the regulators and industry players on corporate governance issues and malpractices in Singapore.

Contents include:
  • Models of Corporate Governance

  • Corporate Governance in Singapore

  • Directors' Duties in an Initial Public Offering and a Takeover

  • Continuing Listing Obligations

  • Corporate Governance Disclosure in Singapore: Evidence from ST150 Companies and Government-Linked Companies

  • Red Chips and Corporate Governance Disclosure

  • The Securities Market

  • Reforms, Recommendations and Conclusion
